1. General Terms
1.1 About Liver Directory
Liver Directory is an online directory and information platform designed to help users find liver-health professionals, healthcare providers, services, facilities, and educational information in the United States.
Liver Directory may provide search functionality, Provider profiles, reviews, ratings, educational materials, contact or inquiry features, and other related services.
Liver Directory is not itself a medical provider and does not provide medical diagnosis, treatment, medical advice, or emergency medical services.
1.2 Acceptance of Terms
By using the Services, you represent that:
- you have read and understood these Terms;
- you agree to comply with these Terms and applicable law;
- the information you provide is accurate and current; and
- you have the legal capacity to enter into these Terms.
If you use the Services on behalf of a company, medical practice, clinic, hospital, or other organization, you represent that you have authority to bind that organization to these Terms.
1.3 Age Requirement
The Services are intended for individuals who are 18 years of age or older.
You may not create an account, submit a review, submit an inquiry, or otherwise provide personal information through features requiring registration or submission if you are under 18.
Parents or legal guardians may use the Services on behalf of a minor where appropriate and permitted by law.
We may suspend or terminate an account or remove information if we reasonably believe that the account was created or used in violation of this age requirement.
This age requirement does not limit any rights or protections provided to minors or their parents or guardians under applicable law.
1.4 Medical Disclaimer
The information provided through the Services is for general informational and educational purposes only.
Liver Directory does not provide medical advice, diagnosis, treatment recommendations, or emergency medical services.
Nothing on the Services should be interpreted as a substitute for consultation with a qualified healthcare professional.
You should consult an appropriately licensed healthcare professional regarding your individual medical condition, symptoms, diagnosis, treatment, medications, or other healthcare needs.
If you believe you are experiencing a medical emergency, contact emergency services or seek immediate medical attention.
1.5 Provider Information
Provider profiles, listings, descriptions, specialties, credentials, locations, services, reviews, ratings, and other information may come from Providers, users, public sources, third parties, or other available sources.
We do not guarantee that Provider information is complete, accurate, current, or error-free.
Providers are responsible for the accuracy of information they submit or maintain.
You are responsible for independently evaluating any Provider before seeking or receiving healthcare services.
1.6 No Endorsement
A Provider's appearance in the Directory does not constitute or imply an endorsement, recommendation, certification, accreditation, referral, or guarantee by Liver Directory.
Liver Directory does not guarantee:
- a Provider's qualifications, licensing, or credentials;
- the quality or safety of a Provider's services;
- the outcome of treatment;
- the availability of a Provider;
- the accuracy of Provider information; or
- the suitability of a Provider for your particular healthcare needs.
1.7 Privacy and Health Information
Your use of the Services may involve information that relates to your health, healthcare experiences, Providers, treatments, medications, symptoms, diagnoses, insurance, or other sensitive information.
Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy.
Not all health-related information is necessarily protected health information (“PHI”) under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), and HIPAA does not apply to every website, service, Provider, or activity.
Where HIPAA or another applicable privacy law applies to a particular activity, we will handle information as required by applicable law.
If a Provider engages Liver Directory to perform services that legally make Liver Directory the Provider's business associate under HIPAA, the parties may be required to enter into a separate Business Associate Agreement (“BAA”). Where applicable, the BAA will govern the parties' HIPAA-specific obligations.
Privacy obligations may also apply under federal, state, provincial, or territorial privacy laws depending on where you are located and how the Services are used, including the Personal Information Protection and Electronic Documents Act (PIPEDA), Québec's Act respecting the protection of personal information in the private sector (as amended by Law 25), and the Washington My Health My Data Act, where applicable. Nothing in these Terms is intended to waive or limit privacy rights that cannot lawfully be waived or limited.
1.8 Security
We use reasonable administrative, technical, and organizational measures designed to protect information handled through the Services.
However, no website, system, transmission, or method of electronic storage can be guaranteed to be completely secure.
We will respond to privacy and security incidents in accordance with applicable legal requirements, including any applicable notification, mitigation, documentation, and regulatory reporting obligations.
You use the Services at your own risk.
1.9 Intellectual Property
The Services and their contents, including text, graphics, logos, designs, software, databases, trademarks, compilation of information, and other materials, are owned by or licensed to Liver Directory and are protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publish, sell, license, create derivative works from, or exploit the Services or their content without our prior written permission.
1.10 Third-Party Services and Links
The Services may contain links to third-party websites, services, products, applications, or resources.
Liver Directory does not control or necessarily endorse third-party services.
Your use of third-party services is subject to the applicable third party's terms and policies.
We are not responsible for third-party content, availability, security, privacy practices, or services.
1.11 Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVER DIRECTORY DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPLETE.
Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.
1.12 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVER DIRECTORY AND ITS OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, VENDORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVER DIRECTORY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO LIVER DIRECTORY FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
- $100.
This limitation does not apply to liability that cannot legally be limited or excluded.
1.13 Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Liver Directory and its owners, affiliates, officers, directors, employees, agents, contractors, vendors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- your use or misuse of the Services;
- your violation of these Terms;
- your violation of applicable law;
- information or content you submit;
- your infringement or violation of another person's rights; or
- your professional activities, if you are a Provider.
1.14 Changes to the Services
We may modify, suspend, restrict, or discontinue any part of the Services at any time, with or without notice, subject to applicable law.
We do not guarantee that any particular feature, Provider, listing, review, service, or content will remain available.
1.15 Changes to These Terms
We may update these Terms from time to time.
The updated version will be posted on the Services with a revised “Last Updated” date.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
Where applicable law requires additional notice, consent, or another process for changes to these Terms, we will follow those requirements.
2. Terms for Patients and Users
This section applies specifically to individuals who use Liver Directory to search for Providers, obtain information, contact Providers, submit inquiries, post reviews, or otherwise use the Services as patients, prospective patients, caregivers, family members, or other users.

2.2 Provider Relationships
Liver Directory is not a party to the relationship between you and a Provider.
If you contact, communicate with, schedule an appointment with, pay, or receive healthcare services from a Provider, you are dealing directly with that Provider.
The Provider, and not Liver Directory, is responsible for the healthcare services provided to you.

- that a particular service will be provided; or
- any particular healthcare outcome.
You are responsible for the information you provide in an inquiry.

Liver Directory may remove or restrict reviews that violate these Terms or applicable law.
2.5 Public Health Information
Before submitting a review, comment, question, profile interaction, or other publicly visible content, carefully consider whether it contains information about your health or another person's health.
Publicly posted information may be visible to other users and may be copied, indexed, or redistributed by third parties.
Do not publicly disclose another person's private or health information without appropriate authorization.
2.6 User Content
You retain ownership of content you submit to the Services, subject to the rights granted below.
By submitting content, you grant Liver Directory a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, publish, distribute, modify, adapt, and use that content as reasonably necessary to operate, maintain, improve, and promote the Services.

3.1 Provider Eligibility and Authority
You must be at least 18 years old to create or manage a Provider account.
If you act on behalf of a practice, clinic, hospital, or other organization, you represent that you have authority to do so.
You are responsible for ensuring that your use of the Services complies with applicable laws, regulations, professional requirements, and licensing obligations.

3.3 Credentials and Licensing
Providers are responsible for maintaining all licenses, registrations, certifications, permits, and professional qualifications required to provide their services.
Liver Directory may request information or documentation relating to professional credentials.
A Provider's listing does not constitute verification, certification, accreditation, or endorsement by Liver Directory unless expressly stated otherwise.
3.4 Responsibility for Medical Services
Providers are solely responsible for all medical, healthcare, professional, administrative, and other services they provide to patients.
Liver Directory does not:
- diagnose patients;

Providers are responsible for determining and complying with their obligations concerning patient information, including obligations under HIPAA, state privacy laws, professional confidentiality requirements, and other applicable laws.
Providers must not request, use, disclose, or store patient information through the Services except as permitted by applicable law and the applicable service functionality.
Where Liver Directory acts as a business associate of a Provider under HIPAA, the parties may enter into a separate BAA.
The BAA, where applicable, will govern the parties' HIPAA-specific obligations in the event of a conflict with these Terms.
3.7 Reviews and Ratings
Providers acknowledge that patients and users may submit reviews and ratings based on their experiences.
Providers may not:
- create fake reviews;
- manipulate ratings;
- submit reviews pretending to be patients;
- pay or improperly incentivize reviews;

- otherwise manipulate the review system.
Liver Directory may remove reviews that violate these Terms or applicable law.
3.8 Responses to Reviews
Providers may respond to reviews where the Services permit responses.
Providers must not disclose confidential or protected patient information in response to a review.
A Provider's response must comply with applicable privacy laws, professional confidentiality obligations, and professional standards.
3.9 Provider Content
Providers may submit professional content, including biographies, photographs, service descriptions, educational information, logos, and other materials.
Providers are responsible for ensuring that submitted content is accurate, lawful, and does not infringe the rights of others.
3.10 License to Provider Content
By submitting Provider content, you grant Liver Directory a non-exclusive, worldwide, royalty-free license to host, reproduce, display, publish, distribute, adapt, and use that content as reasonably necessary to operate, promote, and improve the Services.
You retain ownership of your content.
You represent that you have all necessary rights and permissions to submit the content and grant this license.
3.11 Advertising and Professional Claims
Providers must ensure that all statements concerning their qualifications, services, outcomes, specialties, pricing, credentials, affiliations, and professional services are accurate and comply with applicable advertising, healthcare, consumer-protection, and professional rules.
Providers may not use the Services to make false, deceptive, misleading, or unsupported healthcare claims.
3.12 Paid Services
Liver Directory may offer paid Provider services, including enhanced listings, subscriptions, advertising, promotional placements, or other features.
Where applicable, fees, billing terms, renewal terms, cancellation rights, and refund policies will be disclosed separately before purchase or in an applicable order, subscription, or service agreement.
Unless otherwise stated, payment for a paid service does not guarantee any particular number of views, inquiries, patients, appointments, or business results.
Cancellation and Consumer Rights. Paid services may be cancelled in accordance with the applicable order, subscription, or service agreement and any cancellation instructions provided before or at purchase. Nothing in these Terms limits any mandatory cancellation, withdrawal, refund, or other consumer rights that apply under applicable law.
3.13 Search Results and Rankings
Provider listings may appear in search results based on various factors, which may include relevance, location, information provided, user preferences, availability of information, profile completeness, and other factors.
Where applicable, paid placement or promotional positioning may be identified as advertising or sponsored content.

Any professional relationship is established directly between the Provider and patient in accordance with applicable law.
3.16 No Guarantee of Leads or Patients
Liver Directory does not guarantee that any Provider will receive:
- patient inquiries;
- referrals;
- appointments;
- new patients;
- revenue;

- continued access presents a security or legal risk; or
- suspension or termination is otherwise reasonably necessary to protect the Services, users, Providers, or third parties.
Providers may also request removal or closure of their profiles subject to any applicable paid-service or contractual obligations.
Termination does not eliminate provisions that by their nature should survive termination.
5. Governing Law and Disputes
5.1 Governing Law
These Terms and any dispute arising out of or relating to the Services will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Nothing in this governing-law provision is intended to deprive you of mandatory protections or rights available under the laws that apply to you.
5.2 Venue
To the extent permitted by law, any permitted court proceeding arising from or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction and venue.
Nothing in this section prevents Liver Directory from seeking temporary, preliminary, or permanent injunctive or equitable relief in another jurisdiction where reasonably necessary to protect its rights or property.
5.3 Time Limit for Claims
To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to the Services or these Terms must be filed within one year after the claim arose.
5.4 Class Actions
To the maximum extent permitted by law, you agree that any claim against Liver Directory must be brought individually and not as part of a class, collective, consolidated, or representative action.
Nothing in these Terms waives any rights that cannot legally be waived.
6. Consumer Rights
Nothing in these Terms is intended to waive, limit, or exclude any consumer protection, privacy, healthcare, or other rights that cannot legally be waived or limited under applicable law.
Where applicable, this includes rights under federal and provincial or territorial privacy laws in Canada and consumer protection laws governing distance contracts, cancellation, refunds, or other mandatory consumer protections.
7. Severability
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
8. No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
9. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms expressly incorporated by reference, constitute the agreement between you and Liver Directory regarding your use of the Services.
Additional terms may apply to specific paid services, Provider programs, subscriptions, or other features.
10. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.
